Creating a Business Model & Financing Plan

There are two primary purposes to a business plan. The first has an outside objective--to obtain funding. There's no business without capital. The second serves an inside purpose--to provide a plan for early corporate development: to guide an organization toward meeting its objectives, to keep the entrepreneurial business itself and all its decision makers headed in a predetermined direction, to explain in an engaging way with interesting information how the company will be run for the next 3 to 5 years. The entrepreneur must put all the "how’s" and "needs" together in one neat package. This session will provide an overview of what is in a business plan, outline characteristics of fundable companies, tips for raising capital, and how to indentify how much money you need.

 

Pitching the Plan: Marketing Materials, Presentations & Building the Team

Early stage ventures seeking investment need to know how to target, locate, approach and close with venture capitalists, angels and strategic investors. Through an interactive discussion with leading New England Entrepreneurs and Investors, attendees learn how to maximize their chances of identifying the right investors and securing the capital they need to grow their business. Attendees learn how to create an "Elevator Pitch" and what to include in their "Investment Deck" in addition how to properly build your team for funding.

 


Entrepreneur-Advisor Matching Lunch Session

The Entrepreneur-Advisor matching lunch session is an opportunity for the Boot Camp entrepreneurs to ask questions and receive advice from experienced entrepreneurs, strategic professionals, or early stage investors and who are active supporters of New England’s entrepreneurial community. The lunch will be structured for 3 entrepreneurs to be matched and eat lunch with 1 entrepreneurship expert. In addition to the educational learning, the Entrepreneur-Advisor lunch will help foster community to provide networking and communication support, and to accelerate the success of New England’s innovation economy.

 

Angel and Venture Term Sheets

As an entrepreneur, negotiating an Angel or Venture Capital term sheet can be a daunting task. This interactive discussion led by venture capitalists and attorneys explains the critical common business and legal terms used in these term sheets. The session discusses common practices and pitfalls surrounding the use of term sheets and the current market terms for early stage angel and venture investments. Some sample term sheets will be reviewed and explained.

 

Valuation and Negotiation

Entrepreneurs have always struggled to develop and defend early stage corporate valuations as they seek to raise equity financing. In today’s economic environment, where investors are strapped for cash and looking for the lowest risk alternatives, the already difficult task of defending your corporate valuation is nearly impossible. In this new financial world, how do entrepreneurs and investors ever arrive at common ground? To help answer this question, this session will discuss valuation methodologies, metrics, tactics and tips are discussed by successful entrepreneurs, angels, venture capitalists and industry experts.

 

Dilution - Economic Impact of Early Stage Investment; Founder Equity Issues

This interactive session provides the opportunity to discuss valuations and founder equity issues. You will learn to build your own capitalization table in a simple but powerful spreadsheet format and will then explain, in detail, how to use this tool to understand the dilutive impact of stock options, restricted stock, early stage angel or venture capital investment, “down-rounds”, anti-dilution provisions and other similar events. In today’s difficult investment climate, entrepreneurs should have the maximum understanding of the impact of a proposed financing – before they talk to investors. This session will not only explain terms like “pre-money ”, “fully diluted equity”, “option pool”, “percentage ownership,” “weighted average anti-dilution”, “full ratchet anti-dilution” and “per share price” – but will show you the exact numerical consequences of these difficult negotiating points.
